2. Purpose

Mentat Minds is a French simplified joint-stock company (société par actions simplifiées) with a registered office located 32 rue de Paris, 92100 Boulogne-Billancourt, France, and registered with the Nanterre Commercial Registry under number 940 013 576 (“Mentat Minds”).

Mentat Minds operates a non-custodial TAO delegation service on the Bittensor's network (the “Network”), accessible on the website https://mentatminds.com (the “Platform”). It enables users who hold TAO (the “Users”) to stake or invest their TAO tokens across the Network using Mentat Minds technology (the “Services”). By providing these services, Mentat Minds acts as a technology provider by letting TAO holders easily access the Network investment opportunities.

The Network rewards both Users and Mentat Minds for the delegation process (the “Rewards”).

When choosing to stake using Mentat Mind’s Services, the User understands that Mentat Minds will be performing blockchain operations involving its TAO. These operations do not affect its ownership over its TAO.

3. Information regarding the T&Cs

These general terms and conditions (the “T&Cs”) govern Mentat Minds and the User’s contractual relationship.

Localisation of the T&Cs
The User can find them via a direct link at the bottom of the Platform page. They are available at all times on the Platform and Users can keep them in paper format or save them on a secure computer.

Acceptance of the T&Cs
Use of the Services by the User implies acceptance of the T&Cs, without restriction or reservation.

Force of the T&Cs
These T&Cs constitute a legally binding agreement between Mentat Minds and the User. The latter acknowledges having read them carefully, and understood and accepted them in their entirety.

Modifications of the T&Cs
Mentat Minds retains the right to modify, at any time and at its sole discretion, these T&Cs. In such a case, the enforceable version to the contractual relationship between the User and Mentat Minds will be the one available on the Platform when using the Services. It is the User's responsibility to review the revised T&Cs and to explicitly accept them before accessing the Services again. The User’s continued access and/or use of Mentat Minds’s Services shall constitute an express acknowledgment of the amendments provided to the T&Cs and shall be deemed to materialize the User’s acceptance of the revised T&Cs.

4. Risk acceptance

(i) Risks related to blockchain technologies

Users are aware that the Services offered are related to the digital assets sector and directly linked to blockchain technology, which entails several risks including, but not limited to:

economic and market risks, such as fluctuations in the value of crypto-assets, staking rewards variability, and liquidity constraints. Users acknowledge that digital asset markets are decentralised and unregulated, that the Services are not suitable for all investors and that they represent a high level of risk of loss of capital due to the volatility of the markets. Users understand that they can lose all or part of the amount invested using Mentat Minds. Therefore, although the risk of loss does not exceed the amount invested, Users agree not to invest funds they cannot afford to lose. Furthermore, Users acknowledge that they understand that past performance is not indicative of future performance, which may vary both upwards and downwards;

operational risks, including the possibility of underperforming or malicious Validators, disruptions in delegation processes, or network-related challenges. Although Mentat Minds endeavours to provide access to accurate and precise content on its Platform, it does not guarantee its exhaustiveness;

technical risks, such as potential security vulnerabilities, system failures, or unforeseen issues within the delegation Services that may impact performance or availability;

legal and regulatory risks, including potential changes in laws or regulations that may affect the functionality, profitability, or even the legality of the Services. Users need to acknowledge that certain Services, including their availability, could be impacted by one or more regulatory requirements and that Mentat Minds may have to suspend or stop providing all or part of its Services unilaterally without prior notice.

Mentat Minds shall not be held liable for any direct or indirect consequences arising from the materialization of these risks, including but not limited to financial losses, service disruptions, or regulatory impacts.

Mentat Minds assume no responsibility for the operation of the underlying protocols and do not guarantee the functionality or security of Network operations.

(ii) Risks related to TAO and Subnet Tokens

Users acknowledge that : the value of TAO and Subnet Tokens may be affected by future restrictive laws and regulations, and may at any time be equal to zero (0); the liquidity of TAO and Subnet Tokens is not guaranteed, and the TAO and Subnet Tokens may only be tradable against other crypto-assets on certain decentralized exchanges.

Users shall not be entitled to any additional payment or compensation in the event of a decrease in the value of TAO and Subnet Tokens after payment and transfer by the Network.

In connection with the foregoing, the User shall accept the fact that the Rewards may be considered tax events according to the legislations under which the User is subject to taxation. Consequently, Mentat Minds cannot be held liable for any losses in this regard.

(iii) Risks related to Third-Party Services

The Platform may contain links or content from Third-Party Services. Such Third-Party Services may be subject to different T&Cs and privacy practices. Mentat Minds is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by Mentat Minds of such services.

5. Accessibility to the Services

The User must:

  • if he is an individual, be old enough to legally form a binding contract in his/her jurisdiction (18 years old in most countries, but it may be different in other countries);
  • if it is an entity, be duly organised and validly existing under the applicable laws of the jurisdiction of its organisation.

Restricted access: the User guarantees that:

  • he/she/it has not been previously restricted from using the Services or the Network;
  • he/she/it must not be (or be directly or indirectly owned or controlled by any person who is for entity), or be acting at the direction of, or in any way connected to, a person who is:
    • a terrorist or terrorist organisation;
    • listed on any applicable list of sanctioned parties/persons (including the lists of restricted parties issued by the United Nations, United States, European Union, Ireland, Cyprus and UK); or
    • ordinarily resident in or organised under the laws of any jurisdiction subject to comprehensive or other territory-wide sanctions imposed by the United Nations, United States, European Union, Ireland, Cyprus or UK.
6. Description of Services
a. Requirements

Before accessing the Services, the User must:

1) Buy TAOs, which implies to:

  • Create an exchange account that supports TAO’s purchase (the “Exchange Account”),
  • Deposit funds on its Exchange Account and buy TAO. TAO shall be available on the User’s Exchange Account.

To use the Services, the User must meet the minimum required amount indicated on the Platform.

2) Set up a Bittensor wallet, which implies to:

  • Create a crypto wallet (the “Wallet”), using Bittensor extensions.
  • Keep its Wallet’s address (the “Wallet’s address”).

3) Withdraw TAO from the Exchange Account to the Wallet.

It is the User responsibility to follow these steps to access the Services. For that purpose, the User shall contract with the third-party service providers of its choice (the “Third-Party Service Providers”) and check that the Third-Party Service Providers are compatible with the Network.

b. Indexes

Mentat Minds offers different indexes that are described on the Platform (the “Indexes”).

Indexes can imply staking TAOs or investing in Subnet Tokens. If Users choose an Index that includes Subnets Tokens, they expose themselves to the risk of losing TAOs.

c. Subnets

Mentat allows Users to build custom allocations by selecting Indexes and/or direct Subnet allocations on the Invest page.

Direct Subnet allocations can imply staking TAOs or investing in Subnet Tokens. If Users choose a Subnet that includes Subnet Tokens, they expose themselves to the risk of losing TAOs.

d. Delegation

The User must:

  • Connect its Wallet on the Platform by using its Wallet’s Address,
  • Select its allocation on the Platform, which may consist of:
    • One prebuilt strategy selected on the One-click strategies page,
    • Or one or more Indexes and/or direct Subnet allocations selected on the Invest page,
  • Delegate its Wallet by approving the batch request (the “Delegation”).

Delegation is made on all the User’s Wallet; if the User doesn’t want to delegate all the funds in its Wallet, he/she/it must create a new Wallet dedicated to Mentat Minds.

The Delegation process works as follows: when signing the transaction on the Platform, the User sets the Mentat Minds proxy as a staking proxy to its Wallet’s Address, allowing Mentat Minds to stake or allocate the User’s funds within the following hour according to the allocation selected by the User on the Platform. This gives the Indexes the right to buy and sell Subnet Tokens from the User’s Wallet, but not the ability to send funds outside of the Wallet.

Technically, what happens?
All funds sent to the Wallet’s Address of the User will be automatically staked in the next 24 hours. Approving the proxy will give Mentat Minds the right to buy and sell Subnet Tokens and delegate it to a Validator. The funds stay on the User’s Wallet. The Network requires 0.093 to be locked to set an approval. The User will get them back when removing its Delegation.

e. Rewards

In exchange for the TAO and Subnet Token staking, the Network allocates rewards automatically to (together, the “Reward”): Users, for the act of staking TAOs; and Mentat Minds, as an allocator, which amount is determined by the Network protocol.

Mentat Minds does not guarantee any Rewards to Users.

f. Following-up

The User can follow-up its tracking Rewards on the Platform, in the “Portfolio” tab.

g. Adding funds

When the User adds funds to its Wallet, they will be automatically allocated proportionally to the previously selected allocation, within 24 hours. If the User wants to modify the allocation of its Wallet, the User must access the Platform, select a new allocation and approve the relevant transaction or batch request. The newly selected allocation will be applied within one hour following approval, subject to Network conditions, transaction execution and technical availability.

h. No lock-up period - funds withdrawal

There is no lock-up when using the Services. The User can unstake his/her/its TAOs instantly at any point in time and without any charge. In such a case, the User shall get back the total TAO value of his/her/its Wallet at the time of its withdrawal, which shall be indicated on the Platform, in the Portfolio section. The User is not guaranteed to get back as many TAOs as initially delegated, risk that he/she/it accepts.

7. Platform’s Services
a. Maintenance

Mentat Minds ensures maintenance services, including corrective and upgrade maintenance. In this context, access to the Platform may be limited or suspended.

With regard to corrective maintenance, Mentat Minds shall use its best efforts to provide Users with corrective maintenance in order to correct any malfunction or bug detected on the Platform.

Upgrade maintenance includes improvements to the Platform's functionalities and/or technical installations used in connection with the Platform (aimed at introducing minor or major extensions). Mentat Minds may perform upgrade maintenance automatically and without prior notice.

Access to the Platform may also be limited or suspended for reasons of planned maintenance, which may include the corrective and evolutionary maintenance operations mentioned above.

b. Technical support

In the event of any difficulty encountered while using our Services, the User can reach out in the Mentat Minds channel of the Tao Community Discord. Mentat Minds will get back to the User as soon as possible.

8. Financial terms
a. Reward

The Network shall reward automatically the User and Mentat Minds on their respective Wallet for the TAO delegation. The Network Reward’s rate of Mentat Minds is set between 9% and 18% and may evolve during the term of Services. Mentat Minds does not charge the User with any fee for services.

b. Network's fees

The Network may charge a retainer fee which will be indicated on the User’s batch request during the Delegation. This fee is collected directly by the Network on the User’s Wallet and reimbursed to the User when Delegation is removed.

Moreover, the Network’s condition may evolve and add fees. In that case, Mentat Minds makes its best efforts to inform Users as soon as practicable.

9. Right of withdrawal

Given the fluctuations in the Bittensor market, beyond Mentat Minds’s control, the withdrawal period provided for in Articles L. 221-18 et seq. of the French Consumer Code and the article 9 of the European directive related to Consumer Right Protection shall not apply. By subscribing to the Services on the Platform, any User being a natural person expressly agrees to waive his/her right of withdrawal, in other words every User expressly asks and accepts that the contractual relationship with Mentat Minds (concluded when accepting those T&C’s) is fully effective as of the date of such acceptation.

10. Intellectual property rights

The Platform is Mentat Minds's property, as are Mentat Minds's software, Indexes, smart contracts, infrastructures, databases and content of any kind (texts, images, visuals, music, logos, brands, etc.) (together, the “Content”). They are protected by all intellectual property rights or database producers' rights in force. The license granted to the User does not entail any transfer of ownership.

In particular, the User agrees not to:

  • use the Platform in any way or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property rights or other rights of Mentat Minds or any third party, or applicable law, or in a way that is prohibited by this Agreement;
  • copy, modify, disassemble, decompile, or reverse engineer the Content and in particular, the Indexes’ aggregation ;

  • Feedback. Users may provide feedback, suggestions, or ideas relating to the Services or Platform. Users agree that Mentat Minds will own all feedback, and hereby irrevocably assign all right, title, and interest in and to all feedback to Mentat Minds (including use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose).
11. User’s obligations and liability
a. Acceptance of risks

The User understands and accepts the risks associated with the use of the Platform, as described above.

Any APY (annual percentage yield) displayed on the Platform is based on the past performances and shall never constitute a binding engagement of Mentat Minds to the User. The User understands that displayed APYs are only estimations, based on past performance; they are not indicative of future results.

The User has had the opportunity to take independent financial advice before using any of the Services, and he/she/it has not relied on any information and/or recommendation provided by Mentat Minds in using any of the Services. b. Concerning the use of cryptocurrencies

The User will only deliver cryptocurrencies that belong exclusively to the User and which are free of any lien, charge, pledge and any other encumbrance and are in no direct or indirect way the proceeds of any illegal activity including money laundering or used or intended to be used for money laundering and/or terrorist financing.

c. Concerning the use of the Services

The User is responsible for his/her/its use of the Services. The User agrees to use the Services personally and not to allow any third party to use them in their place or on their behalf.

The User undertakes not to use the Services for purposes other than those for which they were designed, and in particular to:

  • always keep the required minimum amount of TAO (as indicated on the Platform) in his/her/its wallet,
  • engage in any illegal or fraudulent activity,
  • undermine public order and morality,
  • infringe the rights of third parties in any way whatsoever,
  • violate any contractual, legislative or regulatory provision,
  • engage in any activity likely to interfere with a third party's computer system, in particular for the purpose of violating its integrity or security,

  • infringing Mentat Minds’s financial, commercial or moral rights and interests,
  • marketing, transferring or otherwise giving access in any way whatsoever to the Services, to information hosted on the Platform or to any element belonging to Mentat Minds.

The User shall indemnify Mentat Minds against any claim and/or action that may be brought against it as a result of the breach of any of the User’s obligations. The User shall indemnify Mentat Minds for any loss suffered and reimburse Mentat Minds for any sums it may have to bear as a result.

d. Concerning the use of Third-Party Services

Access to Mentat Minds’s Services requires the use of Third-Party Services Providers. The User understands that (i) if he/she/it has no longer access to the Third-Party Services Providers, for any reason whatsoever and/or (ii) the Third-Party Services Providers is no longer compatible with the Network, he/she/it will no longer be able to access the Services, which is independent of Mentat Minds’s responsibility.

12. Company’s obligations and liability

Mentat Minds undertakes to provide the Services with diligence, it being specified that it is bound by a best-effort obligation.

a. Concerning the quality of the Services

Mentat Minds uses its best effort to provide Users with quality Services.

To this end, Mentat Minds carries out regular checks to verify the operation and accessibility of its Services and may carry out maintenance under the conditions specified in article “Maintenance”.

However, Mentat Minds shall not be held liable for temporary difficulties or impossibilities in accessing its Services resulting from:

  • circumstances external to its network (including but not limited to partial or total failure of the User’s servers),
  • failure of equipment, cabling, services or networks not included in its Services or not under its responsibility,
  • interruption of Services by telecom operators or Internet service providers,
  • intervention by the User, including but not limited to incorrect configuration of the Services,
  • force majeure.

Mentat Minds is responsible for the operation of its servers, the outer limits of which are constituted by the connection points.

Furthermore, Mentat Minds does not guarantee that the Services: as they are subject to constant research to improve their performance and progress, will be totally free of errors, defects or faults, as they are standard and in no way tailored to the User’s personal requirements, will specifically meet the User’s needs and expectations.

Mentat Minds does not guarantee any right on the Indexes that may evolve.

b. Concerning the Platform service level guarantee

13. Limitation of Mentat Minds’s liability

Users retain full ownership of their crypto-assets, including TAO and Subnet Tokens, at all times. Mentat Minds has no custody over these assets, that it can only invest or divest (stake / unstake) into Alpha Tokens, acting solely as a mere technical service provider facilitating delegation and voting rights delegation. However, Mentat Minds shall be liable for any failures, disruptions, or losses arising from its own negligence, system malfunctions, or security breaches.

Accordingly, Mentat Minds shall not be liable for any losses or theft related to Users assets. Mentat Minds shall also not be liable for any losses including, but not limited to, those resulting from:

  • fluctuations in the value of TAO and Subnet Tokens or any other crypto-assets;
